SERVICE.

1. Agreement & Scope of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client" or "User") and Rydon Digital ("Agency," "we," "us," or "our").

By accessing https://rydondigital.com, engaging our digital marketing, web engineering, graphic design, SEO, or video production services, or purchasing physical Smart NFC cards, review plates, and physical advertising products, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Service Capabilities & Deliverables

Rydon Digital provides specialized agency capabilities and product suites, including but not limited to:

• Website Engineering: Bespoke full-stack web platforms, e-commerce architectures, landing pages, and UI/UX design systems.
• SEO & Organic Growth: On-page optimization, technical SEO audits, keyword dominance strategy, and link building.
• Performance Advertising: Paid search, display, and social ad campaigns across Google Ads, Meta Ads (Instagram/Facebook), and social channels.
• Creative Post-Production: Cinematic video editing, reel production, editorial brand identity systems, and conversion copywriting.
• Hardware & Advertising Products: Smart NFC business cards, touchless Google review stands, acrylic NFC plates, lollipop stands, standees, and sky balloons.

3. Client Obligations & Content Submissions

To enable timely completion of digital deliverables and physical hardware orders, the Client agrees to:

• Provide accurate brand guidelines, vector logos, media assets, and text copy within agreed project onboarding windows.
• Ensure all submitted content (images, trademarks, copy, audio) does not infringe upon any third-party intellectual property or privacy rights.
• Grant Rydon Digital administrative access credentials (domain registrar, web hosting, Google Search Console, Meta Business Manager) required to perform services.
• Provide feedback and approval on milestone proofs within 3 business days of submission.

4. Pricing, Invoicing & Payment Terms

All project estimates and product quotations are issued in Indian Rupees (INR ₹) or US Dollars (USD $) depending on client billing location.

• Project Retainer & Deposit: A minimum 50% upfront deposit is required prior to project kick-off for custom web development, video production, or bulk NFC manufacturing.
• Milestone Payments: Remaining balance payments are billed according to project milestones outlined in the formal Statement of Work (SOW).
• Hardware Products: 100% upfront payment is required for NFC card printing, custom acrylic plates, and advertising hardware prior to dispatch.
• Overdue Invoices: Unpaid invoices exceeding 14 calendar days post-due-date incur a late fee of 1.5% per month or the maximum permissible rate under law. Work on active campaigns or web servers may be paused until full settlement.

5. Intellectual Property Rights

Intellectual property governance between Client and Agency is structured as follows:

• Agency Retained Code: Pre-existing software libraries, proprietary scripts, UI frameworks, and design tokens created prior to or outside the contract remain the property of Rydon Digital.
• Portfolio Showcase: Rydon Digital retains the right to display completed client projects, case studies, website designs, and NFC hardware visuals within our online portfolio, social channels, and agency promotional decks unless a binding NDA explicitly forbids public disclosure.

6. Smart NFC Hardware & Shipping Policies

Orders for physical Smart NFC business cards, review plates, digital product stands, and advertising hardware are subject to the following conditions:

• Proof Approval: Printing proofs (artwork layout, logo positioning, NFC chip destination URL) must be approved by the Client in writing before production begins. Rydon Digital is not liable for client-approved spelling errors or incorrect link URLs.
• NFC Chip Warranty: We provide a 1-year replacement warranty on embedded NTAG/NFC microchips against electronic failure under normal usage conditions (excluding physical bending, immersion in corrosive liquids, or intentional destruction).
• Shipping & Delivery: Hardware products are shipped via reputed courier services. Shipping timeframes provided are estimates; Rydon Digital is not responsible for courier delays caused by customs, severe weather, or force majeure events.

7. Marketing Performance Disclaimers

While Rydon Digital employs industry-leading SEO and paid ad strategy methodologies, search engine ranking algorithms (Google, Bing) and ad network bidding policies (Google Ads, Meta Ads) are controlled independently by third-party platforms.

Consequently, Rydon Digital does not guarantee exact numerical search ranking positions, specific ad impression counts, or guaranteed ROI percentages. Past campaign performance showcased in case studies is not a guarantee of future outcomes.

8. Confidentiality & Non-Disclosure

Both parties agree to hold in strict confidence all proprietary business details, source codes, customer lists, campaign data, and technical specifications shared during the engagement. Confidential information shall not be disclosed to any third party without prior written consent.

9. Limitation of Liability & Warranties

To the maximum extent permitted by law, Rydon Digital, its directors, officers, employees, and regional hubs shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data loss, business interruption) arising out of or related to our services or website performance.

In any event, Rydon Digital's total cumulative liability under any contract or claim shall be strictly capped at the total amount actually paid by the Client to Rydon Digital for the specific deliverable giving rise to the claim during the preceding 3-month period.

10. Cancellation & Refund Policy

• Service Cancellations: A Client may cancel an ongoing service retainer by providing 30 days written notice to rydondigital@gmail.com. Work completed up to the date of cancellation will be billed accordingly.
• Hardware Refund Policy: Custom-printed NFC products or physical advertising media cannot be refunded once custom printing or laser engraving has commenced. Hardware defective upon delivery will be replaced free of charge upon inspection within 7 days of receipt.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or relating to these Terms or Rydon Digital services shall be instituted exclusively in the competent courts located in Udaipur, Rajasthan, India, and both parties submit to the personal jurisdiction of such courts.
